Clove Digital LLC (“Clove”) Subscription and Cancellation Terms

These Terms of Use replace and supersede all prior versions.

1. Month-to-Month Cancellation Terms.

  1. Profit Tool
    Your subscription begins as soon as your initial payment is processed. Your subscription will automatically renew each month without notice until you cancel. You authorize us to store your payment method(s) and to automatically charge your payment method(s) every month until you cancel. We will automatically charge you the then-current rate for your plan, plus applicable taxes (such as VAT or GST if the rate does not include it), every month upon renewal until you cancel.

  2. Reimbursement Tool
    1. Your subscription begins as soon as you have access to open cases within Our Software. Your subscription will automatically renew each month without notice until you cancel. 
    2. You will be charged a percent of settled reimbursements once a month. If you open a reimbursement case before it appears in our system, you will not be charged for that case.
    3. You authorize us to store your payment method(s) and to automatically charge your payment method(s) every month until you cancel. We will automatically charge you the then-current rate for your plan, plus applicable taxes (such as VAT or GST if the rate does not include it), every month upon renewal until you cancel. To opt out of automated payments go to Settings, and then the “Accounts & Billing” tab.
    4. When opted out of automatic payments (For Enterprise clients only), your payment method on file will be charged 14 days after payment is due, if payment has not been received. You will be given warning via email prior to your card being charged.

  3. Reimbursement Concierge
    1. Your subscription begins as soon as you sign up to our Reimbursement Concierge service. Your subscription will automatically renew each month without notice until you cancel. 
    2. You will only be charged a percent of the settled reimbursements from the cases that the Clove team opens.
    3. You authorize us to store your payment method(s) and to automatically charge your payment method(s) every month until you cancel. We will automatically charge you the then-current rate for your plan, plus applicable taxes (such as VAT or GST if the rate does not include it), every month upon renewal until you cancel. To opt out of automated payments go to Settings, and then the “Accounts & Billing” tab. 
    4. When opted out of automatic payments (For Enterprise clients only), your payment method on file will be charged 14 days after payment is due, if payment has not been received.

We may change your plan’s rate each monthly renewal term, and we will notify you of any rate change with the option to cancel. If the applicable VAT or GST rate (or other included tax or duty) changes during your one-month term, we will accordingly adjust the tax-inclusive price for your plan on your next billing date.

If your primary payment method fails, you authorize us to charge any other payment method in your account. If you have not provided us with a backup payment method(s) and you fail to provide payment, or if all payment methods in your account fail, we may suspend your subscription. You can edit your payment information anytime in your Clove’s Settings, under the “Accounts & Billing” tab.

For European Economic Area customers, your bank may require you to authenticate your initial purchase using a password, a one-time code sent to your mobile number, or biometric recognition. When you authenticate, you also authorize us to charge your payment method for your additional purchases without providing us further payment information or other instructions (i.e., we will initiate future payments independently). Such additional purchases may occur when we automatically charge your payment method in connection with a recurring subscription or when you add or change licenses or products.

1.2 Month-to-Month Cancellation Terms.

    1. Profit Tool
      You can cancel your subscription anytime via your Clove’s Settings, under the “Accounts & Billing” tab or by contacting Customer Support. If you cancel within 30 days of your Free Trial, you’ll be fully refunded. Should you cancel after 30 days, your payment is non-refundable, and your service will continue until the end of that month’s billing period.

    2. Reimbursement Tool
      You can cancel your subscription anytime via your Clove’s Settings, under the “Accounts & Billing” tab or by contacting Customer Support. Full access to this tool will continue until the end of that month’s billing period. At the start of the next billing period you will no longer be able to open any new cases. You will However, be able to close any cases that remain in progress.You will be charged for any cases that you open, regardless of whether they were opened during the free trial or after.

    Reimbursement Concierge
    You can cancel your subscription anytime via your Clove’s Settings, under the “Accounts & Billing” tab or by contacting Customer Support. Cancellation will take effect at the start of the subsequent monthly renewal cycle. This means that in the subsequent billing period our software will not add any new cases to our dashboard. However, Clove will continue to open, and follow up on the remaining cases in the software from the last billing cycle, and you will be responsible for settling payments for all of these cases whether or not they were opened before or after cancellation has taken effect. You are responsible for settling payments for all cases opened whether they were opened during the free trial period, or after.

1.3 Annual Contract Subscription Terms.

  1. Profit Tool
    Your subscription begins as soon as your initial payment is processed. If you have signed up to a free trial, your initial payment is processed at the conclusion of your trial period. Your subscription will automatically renew annually without notice until you cancel. You authorize us to store your payment method(s) and to automatically charge your payment method(s) yearly until you cancel. We will automatically charge you the then-current rate for your plan, plus applicable taxes (such as VAT or GST if the rate does not include it), every year until you cancel.

    We may change your plan’s rate each annual renewal term, and we will notify you of any rate change with the option to cancel. If the applicable VAT or GST rate (or other included tax or duty) changes during your one-year term, we will accordingly adjust the tax-inclusive price for your plan mid-term on your next billing date.If your primary payment method fails, you authorize us to charge any other payment method in your account. Misuse includes but is not limited to utilizing data derived from our software to initiate cases externally or outside of the software platform. e reserve the right to terminate or suspend your account due to suspected misconduct.

  • Payment Terms for Consulting, and Management Services

    The specific payment terms for each consulting and management service are detailed in the respective individual client contracts. Precedence in Case of Contradictions: In instances where there is a discrepancy between the general payment terms outlined in this document and the provisions in an individual client contract, the terms specified in the individual client contract will take precedence.

2. Misuse of the Reimbursement Tool.

Your usage of our self-service tool may be subject to monitoring at any given time to prevent and detect any misuse. Misuse includes but is not limited to utilizing data derived from our software to initiate cases externally or outside of the software platform. e reserve the right to terminate or suspend your account due to suspected misconduct.

3. Payment Terms for Consulting, and Management Services

The specific payment terms for each consulting and management service are detailed in the respective individual client contracts. Precedence in Case of Contradictions: In instances where there is a discrepancy between the general payment terms outlined in this document and the provisions in an individual client contract, the terms specified in the individual client contract will take precedence.
